Commercial agency is the regulated arrangement under which a UAE-registered agent distributes, sells or represents a foreign principal's products in the UAE. Agencies registered with the Ministry of Economy enjoy statutory protections that go far beyond ordinary contract law: registered agents have historically benefited from exclusivity in their territory, the ability to block parallel imports of the agency products, and significant protection against non-renewal or termination without cause or compensation. The regime has been modernised — a newer federal agency law has adjusted termination and registration rules — but registered agencies remain sticky relationships that are hard to exit. It matters enormously to manufacturers entering the UAE market: choosing between a registered agency, an unregistered distribution agreement, or a subsidiary determines how easily you can ever change your local partner. You meet it in automotive, FMCG, machinery and franchise sectors, and in disputes when a principal tries to switch distributors.
