An arbitration clause is a contract provision in which the parties agree that future disputes will be decided by arbitration instead of the courts. Under UAE law it must be in writing, and the person signing for a company must have authority to bind it to arbitration — a recurring battleground, since awards have been challenged where the signatory lacked that specific authority. A well-drafted clause names the rules and institution (such as DIAC), the seat, the language and the number of arbitrators; a badly drafted 'midnight clause' breeds satellite litigation about whether and where arbitration must happen. It matters because the clause removes your dispute from the court system: once validly agreed, a UAE court will generally decline to hear a claim covered by it if the defendant objects in time. You meet it in construction contracts, joint ventures, franchise and supply agreements — usually noticing it seriously only when a dispute has already begun.
