Article (1) Articles (1), (7), (8), and (13) of the Original Decree are hereby superseded by the following:

Article (1) The following words and expressions, wherever mentioned in this Decree, will have the meaning indicated opposite each of them unless the context implies otherwise: UAE: The United Arab Emirates. Emirate: The Emirate of Dubai. Ruler: His Highness the Ruler of Dubai. Government: The Government of Dubai. Article (2) Article (14) of the Original Decree is hereby repealed. Any provision in any other legislation is also hereby repealed to the extent that it contradicts the provisions of this Decree. Commencement and Publication

Article (7) The HBRAMS will be managed by a Board of Trustees comprised a chairman, a vice chairman, and other members known for their competence and integrity. The Board of Trustees members must not be less than seven (7) or more than eleven (11) members. The members of the Board of Trustees will be appointed pursuant to a resolution of the Chairman of the Executive Council for a renewable term of four (4) years.

Article (8) a. The Board of Trustees is the highest authority responsible for overseeing the affairs of the HBRAMS and is vested with the powers to plan and supervise the activities of the HBRAMS and to administer its work with a view to achieving its objectives. In particular, the Board of Trustees will have the duties and powers to: 1. approve the general policy and the strategic, development, and operational plans of the HBRAMS; 2. approve the charter of the HBRAMS, and submit it to the Chairman of the Executive Council for final approval; 3. approve the resolutions and bylaws regulating the administrative, financial, and technical work of the HBRAMS, the Board of Trustees, and the General Secretariat; 4. approve the organisational structure of the HBRAMS; 5. approve the internal bylaws regulating the activities of the HBRAMS, and pass the required resolutions that ensure proper conduct of these activities and flow of work; 6. discuss the draft annual budget and financial statements of the HBRAMS, and submit the same to the competent entities in the Emirate for approval; 7. appoint the rapporteur of the Board of Trustees and determine his duties; 8. approve the annual and phase-based work plans that are relevant to the achievement of the HBRAMS objectives, and direct the General Secretariat to implement these plans;

Decree No. (32) of 2022 Amending Decree No. (5) of 1999 Establishing the Sheikh Hamdan bin Rashid Al Maktoum Award for Medical Sciences Page 3 of 4 9. approve the general and particular eligibility criteria for nomination for the HBRAMS awards and for selection of winners; 10. form permanent and temporary specialised technical and scientific committees and work teams in accordance with the requirements of the HBRAMS activities and objectives to assist the Board of Trustees in performing its duties; issue the bylaws regulating the work of these committees and work teams; and determine the remunerations and allowances of their members; 11. select, in consultation with the competent committees, the institutions, universities, research centres, or individuals to whom the HBRAMS awards will be granted; and 12. exercise any other duties or powers that are relevant to the achievement of the objectives of the HBRAMS as assigned to the Board of Trustees by the Ruler or the Chairman of the Executive Council, or as prescribed by the charter of the HBRAMS. b. The Board of Trustees may delegate any of its powers under paragraph (a) of this Article to any of its members or to the secretary general of the HBRAMS, provided that such delegation is specific and in writing.

Article (13) Where the property of the HBRAMS is used for any purpose that contradicts with its objectives or in case of gross mismanagement of the HBRAMS or violation of this Decree, the Chairman of the Executive Council may issue a resolution dissolving the Board of Trustees and appointing a new Board of Trustees to replace it.
