Article (2) The following words and expressions, wherever mentioned in this Law, will have the meaning indicated opposite each of them unless the context implies otherwise: UAE : The United Arab Emirates. Emirate : The Emirate of Dubai. DHCC : The Dubai Healthcare City DHCA : The Dubai Healthcare City Authority. Board of Trustees : The board of trustees of the MBRU. Vice Chancellor : The vice chancellor of the MBRU. Academic Board : The academic board of the MBRU. Establishment of the MBRU

Article (6) The MBRU will have the following objectives: 1. to establish the Emirate as a hub for academic specialisations in medicine and health sciences;

Law No. (7) of 2016 Establishing the Mohammed bin Rashid University of Medicine and Health Sciences Page 3 of 10 2. to contribute to achieving sustainable development through supporting scientific advancement in medicine and health sciences; 3. to provide the community with qualified medical and healthcare personnel who are able to efficiently address various health issues; 4. to create a favourable environment for conducting scientific research that enhances the health sector in the community, through supporting education, scientific research, and continued professional development in medicine and health sciences; and 5. to achieve a leading position and excellence in medicine and health sciences at the local, regional, and international levels. Functions of the MBRU

Article (7) For purposes of achieving its objectives, the MBRU will have the duties and powers to: 1. establish specialised colleges, institutes, and research centres; 2. develop and implement specialised and distinguished academic programmes in medicine and health sciences to improve the quality of higher education; 3. award academic degrees to students who successfully complete approved academic programmes; 4. grant academic ranks to faculty members of the MBRU or to persons who conduct research approved by the MBRU, in accordance with the relevant standards approved by the MBRU; 5. provide continued professional development opportunities in various fields related to medicine and health sciences in order to meet the need of the community for various medical and health services; 6. encourage scientific research, focusing on fields related to medicine and health sciences; 7. foster and support scientific, cultural, and professional relations and ties with local, regional, and international universities, public and private entities, institutes, research centres, hospitals, and healthcare institutions, through partnerships with these entities; 8. provide technical consultation and services, and scientific and professional research in medicine and health sciences; 9. adopt and implement the best technologies and teaching aids to provide academic programmes and training courses to the MBRU students and clients;

Law No. (7) of 2016 Establishing the Mohammed bin Rashid University of Medicine and Health Sciences Page 4 of 10 10. establish and manage the infrastructure required to enable the MBRU to perform its duties and achieve its objectives; 11. publish scientific bulletins and journals specialised in medicine and health sciences within and outside of the UAE; 12. organise and participate in conferences, symposia, and workshops specialised in medicine and health sciences; 13. engage all segments of the community in various activities of the MBRU; and 14. exercise any other duties or powers required for the achievement of the objectives of the MBRU. Organisational Structure of the MBRU

Article (9) a. A Chancellor will be appointed to the MBRU pursuant to a decree of the Ruler. b. The Chancellor will undertake the general supervision of the affairs of the MBRU. For this purpose, the Chancellor will have the duties and powers to: 1. approve operational plans and programmes related to the approved policy of the MBRU; 2. approve the internal regulations and bylaws of the MBRU, including the human resources regulations of faculty members and employees of the MBRU; 3. approve student affairs bylaws and student admission rules; 4. approve the rules for awarding academic certificates and degrees, and training certificates by the MBRU;

Law No. (7) of 2016 Establishing the Mohammed bin Rashid University of Medicine and Health Sciences Page 5 of 10 5. approve the annual academic calendar of the MBRU; 6. approve the examination regulations of the MBRU; 7. prescribe university fees and the rules governing scholarships, upon the recommendation of the Vice Chancellor; 8. approve partnership and cooperation agreements, and memoranda of understanding with local, regional, and international universities, public and private entities, institutes, research centres, hospitals, and health institutions; and 9. exercise any other duties or powers related to the objectives of the MBRU. c. The Chancellor may delegate any of the powers stipulated in paragraph (b) of this Article to the vice chairman of the Board of Trustees or to the Vice Chancellor, provided that this delegation is specific and in writing. Board of Trustees of the MBRU

Article (11) a. The Board of Trustees will convene at the invitation of its chairman, or the vice chairman if the chairman is absent, at least once a year or where necessary. Meetings of the Board of Trustees will be valid if attended by the majority of its members, provided that the chairman or vice chairman is in attendance. b. Resolutions of the Board of Trustees will be passed by majority vote of attending members, and in the event of a tie, the chair of the meeting will have a casting vote. Resolutions of the Board of Directors will be recorded in minutes of meetings signed by the chair of the meeting and attending members. c. The Board of Trustees may invite experienced and specialised persons, as it deems appropriate, to attend its meetings and assist in considering the matters presented to it. These persons will not have a vote in the deliberations of the Board of Trustees. d. The Board of Trustees may form permanent and temporary sub-committees and work teams to assist it in performing its duties. A resolution forming any of these sub-committees and work teams will determine its duties, powers, and tenure.

Article (14) a. The Vice Chancellor will be appointed pursuant to a resolution of the Chairman of the DHCA. b. The Vice Chancellor will be responsible to the Chancellor, or his authorised representative, for performing the duties assigned to him pursuant to this Law and the regulations and bylaws in force in the MBRU. c. The Vice Chancellor will have the duties and powers to: 1. follow up the implementation of the resolutions issued by the Chancellor and the Board of Trustees;

Law No. (7) of 2016 Establishing the Mohammed bin Rashid University of Medicine and Health Sciences Page 7 of 10 2. propose the policies and strategic, development, and operational plans of the MBRU, and take the necessary action to implement the same once they are approved; 3. draft the administrative, financial, and technical regulations and bylaws required to regulate the work and services of the MBRU, and submit the same to the Chancellor for approval; 4. prepare the draft annual budget and final accounts of the MBRU, and submit the same to the Board of Trustees for approval; 5. supervise the executive body and the daily operations, activities, and services of the MBRU; 6. supervise the implementation of the projects and programmes supported by the MBRU; 7. award training certificates; 8. prepare the annual report on the activities and achievements of the MBRU, and submit the same to the Board of Trustees; 9. assess the annual institutional performance of the MBRU, and submit the relevant recommendations to the Chancellor; 10. follow up the implementation of partnerships, cooperation agreements, and memoranda of understanding between the MBRU and other local, regional, and international universities, public and private entities, institutes, research centres, hospitals, and health institutions. 11. represent the MBRU before third parties; 12. open, manage, and close accounts with banks within and outside of the Emirate, in accordance with financial bylaws adopted by the MBRU; 13. form permanent and temporary committees and determine their duties and powers; 14. seek assistance from experts, specialists, and visiting faculty members, in accordance with the relevant bylaws adopted by the MBRU; and 15. exercise any other duties or powers assigned or delegated to him by the Chancellor or the Board of Trustees.

Article (15) a. A dean will be appointed to each of the MBRU colleges pursuant to a resolution of the Chancellor upon the recommendation of the Vice Chancellor. b. A dean will supervise the technical, academic, and administrative affairs of his college in compliance with the provisions of this Law and the resolutions and regulations in force in the MBRU. For this purpose, the dean will have the duties and powers to: 1. manage and regulate the academic and administrative affairs of the MBRU pursuant to the relevant adopted bylaws and resolutions; 2. supervise scientific research in the college; 3. supervise faculty members of the college; 4. issue the resolutions required to ensure a proper conduct of academic activities at the college in compliance with the adopted bylaws and resolutions; and 5. exercise any other duties or powers assigned to him by the Vice Chancellor. Academic Board

Article (17) The Academic Board will have the duties and powers to: 1. propose the curricula and academic programmes and courses of the MBRU colleges, and submit the same to the Board of Trustees for approval; 2. propose the rules for admission of students and assessment of their academic performance, and the disciplinary procedures applicable to students, and submit the same to the Chancellor for approval; 3. recommend the appointment and termination of service of faculty members and heads of departments;

Law No. (7) of 2016 Establishing the Mohammed bin Rashid University of Medicine and Health Sciences Page 9 of 10 4. assess the performance, academic activities, and scientific research of faculty members, and make the appropriate decisions regarding the same; 5. organise and supervise holding the MBRU examinations and review their results in accordance with the relevant adopted bylaws and resolutions; 6. approve the registration of academic theses, appoint thesis supervisors, form committees for thesis defence, and cancel the registration of theses; 7. establish, merge, or close academic departments at the colleges, institutes, or specialised centres of the MBRU; 8. propose the annual academic calendar of the MBRU, and submit the same to the Chancellor for approval; 9. submit to the Chancellor appropriate recommendations concerning the levels of academic performance and achievement at the MBRU; and 10. provide advice to the Chancellor and the Board of Trustees on the academic matters related to the MBRU. Article (18) a. The Academic Board will convene at the invitation of its chairman at least once a month and where necessary.
