A developer NOC is the no-objection certificate that the master developer or building developer issues to confirm it does not object to a property's sale and transfer — in practice, confirmation that the seller has no outstanding service charges, instalments or other liabilities to the developer. In Dubai, the registration trustee will not complete a secondary-market transfer of a unit in a developer-managed community without this NOC, which makes obtaining it a mandatory step in nearly every resale. The seller applies to the developer, pays the NOC fee, clears any arrears flagged, and receives a certificate that is valid for a limited window — deals must be timed so the NOC has not expired by the transfer appointment. Disputes arise when developers use the NOC stage to demand payments the seller contests; because the developer effectively holds a veto over the transfer, sellers often pay under protest and pursue recovery afterwards, which is worth anticipating in the sale agreement.
