Article (1) The following words and expressions, wherever mentioned in this Decree, will have the meaning indicated opposite each of them unless the context implies otherwise: Law: Law No. (4) of 2016 Establishing the Dubai Economic Security Centre. DESC: The Dubai Economic Security Centre established pursuant to the Law. Board of Directors: The board of directors of the DESC. Chairman: The chairman of the Board of Directors. Article (3) a. The Board of Directors is the highest authority of the DESC. It will undertake the general supervision of the work and activities of the DESC and ensure that the duties and powers assigned to the DESC under the Law and the legislation issued in pursuance thereof are duly exercised. In particular, the Board of Directors will have the duties and powers to: 1. approve the general policy of the DESC, and the strategic and development plans, programmes, and initiatives that are conducive to achieving the objectives of the Law; 2. approve the draft annual budget and financial statements of the DESC; 3. approve the organisational structure of the DESC; 4. approve the regulations and bylaws pertaining to the administrative, financial, and technical work of the DESC, including the human resources regulation and the contracting, project, and auction regulations of the DESC; 5. approve the services, work, and activities of the DESC; 6. review the annual performance reports of the DESC and take the necessary action in this regard; 7. form any permanent or temporary sub-committees and work teams, and determine their functions, duties, and terms of reference; and seek the assistance of any experts and specialists it deems appropriate; and 8. perform any other duties that are required to achieve the objectives of the Law. b. The Board of Directors may delegate any of its powers under paragraph (a) of this Article to any of its members or to the Executive Director, provided that such delegation is specific and in writing.

Article (4) a. The Board of Directors will convene at the invitation of its Chairman, or its vice chairman where the Chairman is absent, at least once every month or where necessary. Meetings of the Board of Directors will be valid if attended by the majority of its members, provided that the Chairman or vice chairman is in attendance. b. Resolutions and recommendations of the Board of Directors will be passed by majority vote of attending members, and in the event of a tie, the chair of the meeting will have a casting vote. Resolutions of the Board of Directors will be recorded in minutes signed by the chair of the meeting and attending members. c. A rapporteur will be appointed to the Board of Directors by the Chairman. The rapporteur will send invitations for the meetings of the Board of Directors to its members, prepare its meeting agendas, record its minutes of meetings, follow up the implementation of its resolutions and recommendations, and perform any other duties assigned to him by the Chairman.
