Article (1) This Law will be cited as “Law No. (11) of 2017 Establishing the Dubai Sports Corporation”. Definitions

Title of the Law: the Law
Article (2) The following words and expressions, wherever mentioned in this Law, will have the meaning indicated opposite each of them unless the context implies otherwise: Emirate: The Emirate of Dubai. Government: The Government of Dubai. Club: The Shabab Al Ahli Dubai Club. DSC: The Dubai Sports Corporation. Article (3) Pursuant to this Law, a private corporation named the “Dubai Sports Corporation” is established. The DSC will conduct its business on a commercial basis and will have legal personality, financial and administrative autonomy, and the legal capacity required to undertake all acts and dispositions that ensure the achievement of its objectives. The DSC may enter into contracts with others, sue and be sued in its own name, and appoint any other person to represent it for these purposes. The DSC will be affiliated to the President of the Club. Head Office of the DSC

Article (4) The head office of the DSC will be located in the city of Dubai. The DSC may establish other branches and offices within and outside of the Emirate pursuant to a resolution of the Board of Directors. Objectives and Functions of the DSC

Article (5) The DSC aims to support the budget of the Club by owning, managing, and investing all types of movable and immovable assets and property and tangible, intangible, intellectual, and investment rights and property, whether they are owned by the Club, the Sports Clubs, or others. For this purpose, the DSC will have the duties and powers to: 1. own, lease out, rent, invest, use, develop, utilise, sell, and purchase the movable and immovable property, materials, devices, and equipment required for the achievement of its objectives; 2. invest the property of the DSC and dispose of them in any legal manner; 3. acquire rights related to intellectual property, trademarks, trade names, and patents; and all rights and designs relevant to the achievement of the DSC objectives; 4. establish, wholly own, or own shares in, corporations and companies operating in fields related to the work of the DSC; and purchase and sell the assets of, and shares in, the companies owned by the DSC;

Law No. (11) of 2017 Establishing the Dubai Sports Corporation Page 3 of 8 5. open and manage accounts with banks and other financial institutions within and outside of the Emirate; obtain the necessary loans and credit facilities; and provide appropriate guarantees and mortgage security, including the mortgage of assets, property, etc.; 6. provide construction, implementation, marketing, and management services in respect of buildings, and commercial and real property; 7. enter into partnerships and agreements with corporations, individuals, and companies within and outside of the Emirate, in relation to any projects or fields that are relevant to the achievement of the objectives of the DSC; and 8. exercise any other duties or powers required for the achievement of the objectives of the DSC. Organisational Structure of the DSC

Article (6) The organisational structure of the DSC will comprise: 1. the Chairman; 2. the Board of Directors; and 3. an executive body. Appointment of the Chairman and Formation of the Board of Directors

Article (7) a. The DSC will be managed by a Board of Directors comprised of a Chairman and a number of experienced, competent, and specialised members, appointed pursuant to a resolution of the President of the Club. Membership of the Board of Directors will be for a renewable period of three (3) years. b. At its first meeting, the Board of Directors will elect a vice chairman, who will act as the Chairman in his absence. Functions of the Chairman

Article (8) a. The Chairman will undertake the general supervision of the work and activities of the DSC and will represent it in its relations with third parties. In particular, the Chairman will have the duties and powers to: 1. approve the general policy and the strategic and development plans of the DSC; 2. approve the annual draft budget of the DSC;

Law No. (11) of 2017 Establishing the Dubai Sports Corporation Page 4 of 8 3. approve the financial statements of the DSC and submit the same to the President of the Club or his authorised representative for final approval; 4. approve the financial approval powers at the DSC; open, close, and withdraw funds from, bank accounts; and obtain loans in the name of the DSC; 5. approve the rules relating to management of the bank accounts of the DSC; 6. enter into the contracts and agreements required for the achievement of the objectives of the DSC; 7. approve the organisational structure of the DSC; and the resolutions and bylaws which regulate its administrative, financial, and technical work; 8. supervise and follow up the performance by the Board of Directors of the functions assigned to it under this Law and the resolutions issued in pursuance hereof; 9. supervise the work of the executive body of the DSC and appoint competent and specialised employees; and 10. perform any other duties assigned to him by the President of the Club. b. The Chairman may delegate any of his powers under paragraph (a) of this Article to any member of the Board of Directors, provided that this delegation is specific and in writing. Functions of the Board of Directors

Article (9) The Board of Directors will manage the DSC and undertake the general supervision of its administrative, technical, and financial affairs, and will pass the resolutions and take the actions it deems appropriate for the achievement of the objectives of the DSC. In particular, the Board of Directors will have the duties and powers to: 1. approve the general policy and the strategic, development, and operational plans of the DSC and submit the same to the Chairman for final approval; 2. approve the draft annual budget of the DSC and submit it to the Chairman for final approval; 3. discuss the financial statements of the DSC and submit the same to the Chairman for approval; 4. approve the organisational structure and the bylaws regulating the administrative, financial, and technical work of the DSC, and submit the same to the Chairman for final approval; 5. propose initiatives, programmes, projects, and recommendations related to the work and activities of the DSC, and submit the same to the Chairman for approval; 6. appoint auditors and determine their remuneration at the beginning of each financial year;

Law No. (11) of 2017 Establishing the Dubai Sports Corporation Page 5 of 8 7. form permanent and temporary sub-committees and work teams; and determine their duties, powers, and tenures; 8. seek assistance, in performing its duties, from experts and specialists as it deems appropriate; and 9. prepare annual and semi-annual reports on the DSC activities and financial position, and submit the same to the Board of Directors for approval; 10. implement the directives and instructions of the President of the Club or his authorised representative in respect of the annual and semi-annual reports on the DSC activities and financial position; and 11. exercise any other duties or powers assigned or delegated to it by the Chairman or the President of the Club. Article (10) a. The Board of Directors will convene at the invitation of the Chairman, or in his absence by the vice chairman, at least four (4) times a year, and where required. Meetings of the Board of Directors will be valid if attended by the majority of its members, provided that the Chairman or vice chairman is in attendance. b. The Board of Directors will pass its resolutions and recommendations by majority vote of attending members; and in the event of a tie, the chair of the meeting will have a casting vote. c. Resolutions of the Board of Directors will be recorded in minutes signed by the chair of the meeting and attending members. d. A rapporteur will be appointed to the Board of Directors by the Chairman. The rapporteur will be responsible for sending meeting invitations to the members of the Board of Directors, preparing meeting agendas, recording minutes of meetings, following up the implementation of the Board of Directors resolutions and recommendations, and performing any other duties assigned to him by the Chairman. e. The Board of Directors may invite experienced and specialised persons, as it deems appropriate, to attend its meetings, provided that these persons will not have a vote in its deliberations. f. In the event of absence of the Chairman or in case of any other impediment on his part, the vice chairman will act as the Chairman, and will exercise all the duties assigned to the Chairman under this Law and the resolutions issued in pursuance hereof.

Article (11) a. The DSC will have an executive body comprised of a number of administrative, financ e, and technical employees. b. The executive body of the DSC will be responsible for the operational work of the DSC, and for following up the implementation of the resolutions issued by the Chairman and the Board of Directors. c. The procedures and terms of appointment, and all employment rights and duties, of the employees of the executive body of the DSC will be determined pursuant to the relevant regulations adopted by DSC. Article (12) The Government will not be liable for any debts or obligations arising from the business and activities of the DSC or of any of the companies affiliated to or owned by it; or from the exercise by the DSC of its powers and duties under this Law and the resolutions issued in pursuance hereof. The DSC will be solely liable for such debts and obligations. Exemption from Liability

Article (13) Except in cases of fraud and gross fault, neither the Chairman, nor the Board of Directors, nor any member of the Board of Directors will, in the course of managing the DSC and its operations, be liable to third parties for any act or omission in relation to such management. The DSC will be solely liable to third parties for such an act or omission. Budget and Financial Accounts of the DSC

Article (14) a. The DSC will have an independent budget which reflects its actual financial position. b. In regulating its accounts and records, the DSC will follow the rules and principles of commercial accounting in accordance with the internationally recognised standards. The financial year of the DSC will commence on 1 January and will end on 31 December of each year, except that the first financial year will commence as of the date this Law comes into force and will end on 31 December of the following year. c. The DSC and its affiliated companies are exempt from all types of local taxes and fees.

Article (15) The financial resources of the DSC will consist of: 1. proceeds and profits generated from renting the property of the DSC or from investing the same in any other way; 2. grants and gifts received by the DSC and approved by the Chairman; and 3. any other resources approved by the President of the Club. Transfer of Rights and Obligations

Article (16) a. As of the effective date of this Law, all movable and immovable assets and property and tangible, intangible, intellectual, and investment rights and property registered in the name of the Club and the Sports Clubs are hereby transferred to the DSC. In addition, all the obligations of the Club and the Sports Clubs in relation to these rights, assets, and property will be transferred to the DSC. b. All concerned entities in the Emirate, including the Dubai Municipality and the Land Department, must identify all real property and other property registered in the name of the Club and the Sports Clubs; and must take all necessary action to register that property, and the relevant rights, assets, and investments, in the name of the DSC. Repeals

Article (17) Any provision in any other legislation will be repealed to the extent that it contradicts the provisions of this Law. Commencement and Publication
